BOARD OF DIRECTORS MEETING MINUTES

  1. CALL TO ORDER

The meeting was called to order at 6:02 PM by President Milda Rodriguez.

  1. ROLL CALL / CONFIRMATION OF QUORUM

  • Nelida Correa – Treasurer
  • Boris Dobrivker – Secretary
  • Manuel Jane – Vice President
  • Rosendo E. Prieto – Director (via phone)
  • Wilfredo R. Espinoza – Director

A quorum was established.

Also Present:

  • Cedric Rose, Property Manager
  1. PROOF OF NOTICE OF MEETING

Management confirmed that the Notice of Board Meeting was properly posted on June 3, 2026, in accordance with Florida Statutes and the Association's governing documents.

  1. READING AND DISPOSAL OF PRIOR MEETING MINUTES

A motion was made to waive the reading of the previous meeting minutes and approve them as presented.

Motion by: Nilda Rodriguez – President
Seconded by: Nelida Correa – Treasurer

The motion passed unanimously.

  1. DISCUSSION AND APPROVAL OF 2026-2027 INSURANCE RENEWAL

Management presented the Association's renewed insurance program for the 2026-2027 policy year, including:

  • Property Insurance
  • General Liability Insurance
  • Equipment Breakdown
  • Crime Insurance
  • Directors and Officers Liability Insurance
  • Flood Insurance
  • Workers' Compensation Insurance

Management reported that the Association successfully renewed all required insurance coverages and that the building is now fully insured for wind coverage, bringing the Association into full compliance with Florida insurance requirements.

Management further reported that extensive negotiations were conducted with multiple insurance brokers and carriers to obtain the best available coverage and pricing for the Association.

The Board was advised that:

  • The 2026 budget included approximately $360,000 for insurance expenses.
  • The final insurance package was secured for approximately $300,000.
  • The Association achieved an estimated annual savings of approximately $60,000 while increasing coverage compared to the prior year.
  • The insurance policies will remain in effect through May 2027.

Management also noted that while the current insurance carrier remains acceptable and properly licensed, the Association may wish to explore more established insurance carriers during the next renewal cycle to evaluate future options.

Following discussion, a motion was made to ratify and approve the 2026-2027 insurance renewal package, including all coverages, premiums, and deductibles as presented.

The motion passed unanimously.

No questions were raised by the Board regarding the insurance renewal package.

There being no further business to come before the Board, a motion was made to adjourn the meeting.
